1. General Provisions

These Terms of Sale and Use ("Terms") govern the purchase, delivery, licensing, and use of digital keyboard styles, audio styles, and related content ("Products") sold through this website. By purchasing, downloading, or using the Products, you accept these Terms in their entirety.

2. Digital Product and Delivery

All Products are digital goods and are delivered electronically. No physical delivery is made. Once download access has been granted or the product has been delivered by any electronic means, delivery is considered complete.

3. All Sales Are Final

Due to the nature of digital content: All sales are final. Refunds, exchanges, or order cancellations are not possible. This applies regardless of whether the Product was used, is compatible or not, or if user error occurred. By purchasing, you expressly waive the right to a refund.

4. License Grant (Limited and Device-Bound)

Upon purchase, you receive a non-exclusive, non-transferable, and revocable license to use the Product solely under the following conditions: The Product may only be used on the keyboard whose serial number was provided at the time of purchase. The license is valid for one (1) specific device. Ownership of the audio content and styles remains entirely with the seller. All intellectual property rights are retained by the seller.

5. Mandatory Serial Number Entry

The buyer is required to enter an accurate and valid keyboard serial number during purchase. The seller reserves the right to refuse delivery in cases of suspected misuse. The license is bound exclusively to the provided serial number. Providing inaccurate or false information voids the license.

6. Prohibited Use

The following is strictly prohibited: Using the Product on any device other than the one with the registered serial number. Copying, extracting, modifying, processing, or resampling audio content. Sharing, distributing, reselling, gifting, or sublicensing the Product. Uploading content to forums, cloud services, social media, or file-sharing platforms. Using audio materials outside the keyboard itself (standalone audio use). Any unauthorized use constitutes a serious breach of these Terms.

7. License Termination and Sanctions

In the event of a breach of these Terms: The license is immediately revoked without prior notice. Refunds are not possible. The seller reserves the right to pursue legal action.

8. Disclaimer of Liability

Products are delivered on an "as is" basis, without any warranties. The buyer is responsible for verifying compatibility with their device and software prior to purchase.

9. Limitation of Liability

To the fullest extent permitted by law, the seller's liability is limited exclusively to the amount paid by the buyer for the Product.

10. Governing Law and Contracting Parties

These Terms constitute a legally binding agreement between the end user/buyer ("Buyer") and Virtuoso Arts, LLC, a limited liability company registered in the United States of America, with its registered office in the state of North Carolina ("Seller"). By purchasing, downloading, or using the Products, the Buyer confirms that they have read, understood, and accepted these Terms in their entirety and that they are entering into a contractual relationship with the Seller under the terms set forth herein. These Terms, as well as all rights and obligations arising therefrom, are governed by and construed in accordance with the laws of the State of North Carolina, United States of America, without regard to conflict of law rules.

11. Severability

If any provision of these Terms is deemed invalid, unlawful, or unenforceable by a competent court or other competent authority, such provision shall be considered severable and shall not affect the validity, legality, or enforceability of the remaining provisions. The remaining provisions of these Terms shall remain in full legal force and effect, and the invalid or unenforceable provision shall, to the fullest extent permitted by law, be replaced with a provision that most closely reflects the original intent of the contracting parties.

12. Entire Agreement

These Terms constitute the entire and exclusive agreement between the Buyer and Virtuoso Arts, LLC regarding the subject matter of this agreement and supersede all prior or contemporaneous agreements, understandings, communications, or representations, whether oral or written, relating to the same or similar subject matter. No modifications, amendments, or waivers of any provision of these Terms shall be valid unless made in writing and expressly confirmed by the Seller.

13. Force Majeure

The Seller shall not be liable for any delay or failure to perform any obligation under these Terms if such delay or failure results from circumstances beyond its reasonable control, including but not limited to: natural disasters, fires, floods, earthquakes, war, acts of terrorism, riots, strikes, interruptions in telecommunications or internet networks, server infrastructure failures, government decisions or measures, pandemics, or other extraordinary events ("Force Majeure"). In the event of force majeure circumstances, the Seller's obligations shall be suspended for the duration of such circumstances, without the Buyer's right to a refund or compensation for damages.

14. Assignment of Rights

The Buyer has no right to, in whole or in part, transfer, assign, sell, license, sublicense, or otherwise alienate rights or obligations arising from these Terms, including but not limited to the license to use the Product, without the Seller's prior express written consent. Any attempt to transfer rights or obligations contrary to this provision shall be deemed null and void, and shall constitute grounds for immediate license revocation without the right to a refund. The Seller reserves the right to transfer its rights and obligations under these Terms to an affiliated company, legal successor, or in the course of reorganization, merger, sale of assets, or change in ownership structure, without the need for the Buyer's consent.

15. Non-Waiver of Rights

The Seller's failure to require strict compliance with any provision of these Terms at any time shall not constitute a waiver of that right nor affect the ability to subsequently exercise that or any other right. Any waiver of rights or claims under these Terms shall be valid only if made in writing and expressly confirmed by the Seller, and shall not be deemed a permanent or general waiver.

16. Privacy Policy, Data Protection, and Transaction Confidentiality

Virtuoso Arts, LLC is committed to protecting the privacy and security of its users' data. All personal data collected during the purchase process is used solely for the purpose of order processing, digital content delivery, and customer support. Data is not sold, rented, or shared with third parties, except when necessary for the execution of the transaction (e.g., payment processors or legal obligations). All online transactions are processed through secure, industry-standard payment systems that use encryption and data protection to ensure the confidentiality of users' financial information. Virtuoso Arts, LLC does not have direct access to complete payment card data.

17. Refund Policy

In the event of an approved refund, the refund is made exclusively through the original payment method used during purchase. Alternative payout methods are not available.
